1. Introduction

These Terms and Conditions ("Terms") govern your use of the services and products provided by BrandAlly LLC ("BrandAlly," "we," "us," or "our"), a Wyoming limited liability company. By purchasing or using our services, you agree to be bound by these Terms.

BrandAlly provides digital marketing services and software products, including but not limited to:

• Marketing Services: Comprehensive audits and execution plan building, priced at $2,500 per engagement
• Software Products: Various marketing and analytics tools developed by BrandAlly, each with individual pricing

4. Payment Terms

• All prices are listed in US Dollars (USD).
• Payment is processed securely via Stripe.
• Marketing service fees are due at the time of engagement unless otherwise agreed upon in writing.
• Software product pricing is displayed on each respective product page.
• You agree to provide accurate and complete payment information.

5. Delivery of Services

• Marketing services are delivered digitally. Timelines are communicated during the onboarding process.
• Software products are delivered via digital access (login credentials, download links, or API keys).
• We do not sell or ship physical goods.

6. Intellectual Property

• All deliverables created as part of marketing services become the property of the client upon full payment.
• Software products are licensed, not sold. Your use of software products is governed by the specific license agreement provided with each product.
• BrandAlly retains ownership of all proprietary tools, frameworks, and methodologies used in delivering services.

7. Client Responsibilities

• Provide accurate information and timely feedback required for service delivery.
• Maintain the confidentiality of any account credentials provided.
• Use our services and products in compliance with all applicable laws.

8. Limitation of Liability

To the maximum extent permitted by law, BrandAlly LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, arising from your use of our services or products.

Our total liability for any claim arising out of these Terms shall not exceed the amount you paid to BrandAlly for the specific service or product giving rise to the claim.

10. Privacy

We respect your privacy. Any personal information collected is used solely for the purpose of delivering our services. We do not sell or share your personal information with third parties except as required to deliver our services or as required by law. See our full Privacy Policy.

11. Promotions and Discounts

• Any promotional offers or discounts are valid only for the period and terms specified in the promotion.
• Promotions cannot be combined unless explicitly stated.
• BrandAlly reserves the right to modify or discontinue promotions at any time without prior notice.

12. Modifications to Terms

BrandAlly reserves the right to update these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of our services after changes constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions.

14. Dispute Resolution

Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be settled through binding arbitration in the State of Wyoming.
